Piper Alderman assists Epiroc acquire digital core imaging solutions business

Piper Alderman has advised Epiroc on its acquisition of an Australian-based global provider of digital geological imaging solutions to mining companies, Geoscan.

Epiroc, a leading productivity and sustainability partner for the mining and infrastructure industries, is headquartered in Stockholm, Sweden, with the Australian operation headquartered in Perth, Australia and having more than 700 employees.

Geoscan, based in Perth, has a presence in Australia, Latin America, North America, Europe, and Africa.  Its main offerings are Corescan and Coreshed.  Corescan is a leader in hyperspectral scanning, core photography and 3D laser profiling of drill core, rock chips and other geological samples with the associated processing and interpretation.

Partner, Paul Sartori, led the Piper Alderman team, with support from Senior Associate, Clea Cole, Associate, Egor Serov and Lawyer, Olivia De Angelis.  The team advised Epiroc on all aspects of the transaction, including preliminary negotiations, due diligence, drafting and negotiating the transaction documents, and addressing various cross-border elements of the deal.  A multidisciplinary team, including workplace relations and safety, intellectual property, real estate, tax and regulatory, also provided legal support.
