Piper Alderman advises Freedom Pools & Spas on sale to Nasdaq listed Latham Group

Piper Alderman has successfully advised the owners of Freedom Pools & Spas on the sale of their Australian and New Zealand business to Latham Group, Inc., a Nasdaq listed designer, manufacturer and marketer of residential swimming pools operating across North America, Australia and New Zealand.

Freedom Pools is one of Australia’s longest running fibreglass pool builders, operating as a manufacturer, seller and installer of fibreglass swimming pools and spas, as well as a manufacturer, seller and distributor of fibreglass water and liquid storage tanks.

The transaction was completed by way of a share sale following a complex pre-completion internal restructure and involved the sale of the Freedom Pools Australian and New Zealand operations. Completion occurred at the end of February 2026 after a transaction process spanning approximately 10 months.

Piper Alderman advised the owners of Freedom Pools on all legal aspects of the transaction, including deal structure, drafting and negotiating transaction documentation (including in respect of the pre-completion restructure), assisting with due diligence, managing completion and ancillary documentation, and providing advice across tax, property, intellectual property, regulatory and employment matters.

The transaction involved significant complexity, including a multi-transactional restructure completed within a tight timeframe, extended negotiations on transaction structure, and coordination across multiple jurisdictions and time zones. The matter also required a multidisciplinary, cross office Piper Alderman team spanning corporate, property, tax and commercial disciplines across Perth, Brisbane, Adelaide and Melbourne.
