Global billion-dollar acquisition of energy simulation software company
Piper Alderman advised Glenn Drayton, founder and chief scientist of Energy Exemplar, on all aspects of the transaction of the clients' parent company Simulation Holdings Pty Ltd (Simulation Software) to US-based asset manager Blackstone, and US based private equity firm Vista Equity Partners, for total consideration in excess of AU$1 billion.
Piper Alderman advised on reviewing and negotiating the transaction documents, providing advice on the structure of the transaction and provided tax advice in relation to the structure of the transaction.
The deal value is very significant for a private M&A transaction in Adelaide and accordingly the transaction included the complexities that are incumbent with such a substantial transaction.
Piper Alderman worked as a part of the international team of lawyers acting across the parties to the transaction to successfully finalise and facilitate the execution of the transaction documents for the sale of Simulation Software.
