Backdoor ASX listing for unlisted exploration company
Piper Alderman assisted Mekong Minerals to achieve liquidity for shareholders through disposal of its Cambodian and Laos exploration projects and backdoor listing on the ASX.
Mekong Minerals is an Australian unlisted public company holding several mineral interests in Laos and Cambodia. The firm was in Brisbane and operated offices in Vientiane, Laos, and Phnom Penh. Mekong Minerals sought counsel on the divestment of its Cambodian and Laos explorations projects to ASX-listed Santana Minerals Limited. The goal was to provide liquidity to shareholders and raise additional capital (via Santana) to advance its projects through ASX listing.
Piper Alderman has an experienced team to assist entities in monetising assets. So, we managed to structure and implement the proposed transaction, including obtaining necessary shareholder approvals and satisfying various regulatory requirements given the existence of several associate parties.
