Advising on divestment of non-core business to global property firm seeking to establish Australian footprint

BSA Limited is a national provider of strategic advice, design, implementation, operations and maintenance services, that specialises in telecommunications networks. Based in New South Wales, it provides innovative and flexible solutions to its clients.

Piper Alderman advised on all aspects of the transaction, including the carve-out and restructure of non-sale companies, due diligence and negotiation of all transaction documentation and completion. The transaction involved multiple complexities, including an internal restructure of the business and a multitude of third-party consents.

BSA received $20,000,000 in consideration, subject to working capital adjustments. The divestment will allow BSA to focus on its telecommunication, utility and major fire construction sectors.
